By engaging our services, you accept these terms.
3. Client Responsibilities
Clients agree to:
Provide accurate and up-to-date personal and business information
Maintain valid operating authority, insurance, and required licensing
Communicate promptly with our dispatch team
Submit required documentation in a timely manner (e.g., PODs, invoices)
Failure to meet these obligations may result in delays or termination of service.
4. Fees and Payment Terms
Dispatching fees: Typically 5–10% of load value or flat fee, depending on the service agreement
Accepted payment methods: Bank transfers, debit/credit cards, or other agreed methods
Invoices: Must be paid within the agreed period; late fees or service holds may apply
OTR Logistics reserves the right to update service charges with 30 days’ notice.
5. Service Limitations
Dispatching: Load availability varies with market demand
Rate Negotiation: Rates are subject to market fluctuations
Support Services: Projected timelines may shift based on responsiveness and documentation
6. Termination & Cancellation
Either party may terminate services with 30 days’ written notice. Immediate termination may occur due to:
Non-payment
Breach of terms
Non-cooperation or failure to provide required documents
Outstanding dues must be settled upon termination.
7. Insurance & Liability
Clients are solely responsible for maintaining:
Valid cargo and liability insurance
DOT/MC authority or operational credentials
OTR Logistics is not liable for:
Load damage or delivery delays
Loss of income due to downtime or miscommunication
Website or hosting issues (if applicable)
8. Confidentiality
Both parties agree to keep all sensitive information (such as rate confirmations, client data, and internal communications) confidential during and after the service term.
9. Indemnification
Clients agree to indemnify and hold OTR Logistics, its employees, and partners harmless against any losses or claims resulting from:
Breach of these terms
Regulatory violations
Business losses or third-party claims
10. SMS & Communication Terms
We may use email, SMS, or WhatsApp to send important service updates or promotional messages.
Opt-In: Via forms or request
Opt-Out: Reply “STOP” or email us
Rates: Standard carrier messaging rates may apply
11. Force Majeure
OTR Logistics shall not be held liable for service delays due to events beyond its control, such as:
Natural disasters
Internet or server outages
Political unrest or war
Labor strikes or acts of God
12. Amendments
